Terms and Conditions of Use – Stripe VeriFactu Connector
- Purpose
This document governs the rights and obligations arising from the use of the Stripe – VeriFactu Connector, a solution offered by INNOVACIÓN TECNOLOGÍA Y CONSULTORÍA S.L. (hereinafter, “Provider”), which allows for the automatic issuance and communication of invoices generated in Stripe to the Spanish Tax Agency (AEAT) through the VeriFactu system.
The Client (hereinafter, “User”) accepts that the service is limited to facilitating the technical connection between Stripe and VeriFactu, without replacing any applicable tax, accounting, or legal obligations.
- Scope of Service
Integration of the Stripe payment system with VeriFactu through our connector.
Communication of invoices to the AEAT in the format and according to the requirements established by current regulations.
Generation of proof of shipment and retention of the minimum information necessary for the proper functioning of the system.
Updates resulting from regulatory changes in VeriFactu or technical changes in Stripe.
- Provider Obligations
Guarantee the correct functioning of the connector within the current technical and legal limits.
Keep the software updated against relevant modifications from Stripe or the Spanish Tax Agency (AEAT) regarding VeriFactu.
Provide support through the enabled channels (email).
Process the Client’s data in accordance with applicable data protection regulations.
Possess a valid digital certificate. - User Obligations
Have an active Stripe account and comply with the terms of service.
Ensure that the data entered into Stripe is correct and compliant with all applicable legal requirements.
Pay the fees associated with the use of the service as indicated on the Provider’s website.
Promptly report any errors or anomalies detected in the operation of the connector. 5. Prices and Payment Method
The User shall pay the Provider:
A usage fee, which may be based on communication vouchers with annual expiration and automatic renewal upon expiration.
Failure to pay any fee will result in immediate suspension of the service.
- Intellectual Property
The Stripe Connector – VeriFactu software is the exclusive property of the Provider. The User acquires a limited, non-exclusive, and non-transferable right of use, without this implying the transfer of intellectual or industrial property rights.
The reproduction, transfer, sublicensing, reverse engineering, or exploitation of the software for purposes other than those stipulated in this agreement is prohibited.
- Confidentiality and Data Protection
The Provider will act as the data processor with respect to the personal data it accesses, limiting its use to the proper provision of the service.
The necessary technical and organizational measures will be applied to guarantee the security, confidentiality, and integrity of the data, in accordance with the GDPR and the LOPDGDD.
The User shall be responsible for compliance with their legal obligations as the data controller.
- Limitation of Liability
The Provider is not liable for:
Errors resulting from incorrect or incomplete data entered by the User into Stripe.
AEAT (Spanish Tax Agency) failures or interruptions in Stripe’s services.
Misuse of the connector by the User.
The Provider’s maximum liability, in any case, shall be limited to the amount actually paid by the User in the last 12 months.
- Duration and Termination
The contract shall have an initial duration of one (1) year, automatically renewable unless expressly terminated by the User.
The User may cancel the service by sending a minimum of 30 days’ notice to stripe@itcons.app.
The Provider may terminate the contract in the event of a serious breach by the User or regulatory/technological changes that make it impossible to provide the service. 10. Governing Law and Jurisdiction
These terms are governed by Spanish law.
Any dispute will be submitted to the Courts of San Sebastián (Gipuzkoa), unless otherwise required by law.
